These Terms of Service (the "Terms") govern your use of graytechsolutions.com (the "Site") and the services offered by Gray Tech Solutions. This Site is owned and operated by Gray Tech Solutions.

By using this Site, requesting information, submitting a form, or purchasing services from us, you indicate that you have read and understand these Terms and agree to abide by them at all times.

Our Privacy Policy explains how we collect, use, and protect personal data. These Terms apply in addition to the Privacy Policy.

Intellectual Property

All content published and made available on our Site is the property of Gray Tech Solutions and the Site's creators. This includes, but is not limited to images, text, logos, documents, downloadable files, and anything that contributes to the composition of our Site.

You may not copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Site in any form or by any means without our prior written permission, except as permitted by law.

Services

These Terms govern the sale and delivery of services available on our Site or agreed to in a proposal, statement of work, or other written agreement with us.

The following services are currently offered on our Site:

• Local SEO Services
• Google My Business Management
• AI SEO Services

We may also offer free tools, audits, or resources on the Site or on related subdomains. Use of those tools is subject to these Terms unless separate terms are provided for a specific tool.

Service descriptions, pricing, deliverables, timelines, and payment schedules are set out on the Site, in a proposal, or in a written agreement between you and Gray Tech Solutions. If there is a conflict between general Site information and a signed or accepted proposal, the proposal controls for that engagement.

We reserve the right to modify, reject, or cancel an order or engagement whenever it becomes necessary. If we cancel an engagement and have already processed your payment for undelivered work, we will refund the amount paid for that undelivered portion.

Payments

Payment terms depend on the service purchased:

• Project-based work, such as website design, is typically invoiced according to the schedule in your proposal. This may include a deposit before work begins and balance payments tied to milestones or launch.
• Ongoing monthly services, such as local SEO or Google Business Profile management, are typically billed in advance on a recurring monthly basis according to your agreement.

We accept payments through:

• Wave invoices and related payment methods offered through Wave

When you provide payment information, you authorize us to use that payment method and to charge the amounts due under your agreement. If we believe a payment has violated any law or these Terms, we reserve the right to cancel, reverse, or suspend the related transaction or service.

You are responsible for providing accurate billing information and for monitoring your payment method to verify receipt of any refund.

Client Responsibilities

To deliver services effectively, you agree to:

• Provide timely access to accounts, content, approvals, and information reasonably needed to perform the work;
• Review deliverables and feedback requests within the timelines stated in your proposal or communications; and
• Ensure that content, credentials, and materials you provide do not infringe third-party rights or violate applicable law.

Delays caused by missing access, approvals, or materials may affect timelines and are not our responsibility.

Refunds

Refund requests are reviewed on a case-by-case basis.

• Project-based services: Fees for completed work, approved deliverables, and work already performed are generally non-refundable unless otherwise agreed in writing.
• Monthly services: Fees for the current billing period are generally non-refundable once the period has begun. You may cancel future monthly billing according to the notice terms in your agreement.

Nothing in this section limits rights you may have under applicable consumer protection law.

Third-Party Platforms and Tools

Our services may involve third-party platforms, tools, or accounts, including Google, Meta, analytics providers, CRM systems, hosting providers, and similar services. We do not own or control those third parties.

You are responsible for maintaining access to accounts required for your project or ongoing services. We are not responsible for outages, policy changes, suspensions, or actions taken by third-party platforms outside our reasonable control.

Links to Other Websites

Our Site contains links to third-party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of any third-party website or service linked to on our Site. You should read the terms and privacy policies of those third-party websites before using them.

Limitation of Liability

To the fullest extent permitted by law, Gray Tech Solutions and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising from your use of the Site or our services.

Our total liability for any claim arising out of or relating to the Site or services provided under these Terms will not exceed the amount you paid us for the specific service giving rise to the claim during the twelve months before the claim arose, except where liability cannot be limited under applicable law.

We do not guarantee specific search rankings, Map Pack positions, traffic levels, lead volume, review counts, AI mentions, or revenue outcomes. Marketing results depend on many factors outside our control.

Indemnity

Except where prohibited by law, by using this Site or our services you agree to indemnify and hold harmless Gray Tech Solutions and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities, and expenses, including legal fees, arising out of your use of the Site, your violation of these Terms, or content or materials you provide to us.

Consumer Protection Law

Where the Consumer Protection Act, or any other consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms will not limit your legal rights and remedies under that legislation. These Terms will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and that legislation, the mandatory provisions of the legislation will apply.

Applicable Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Severability

If any provision of these Terms is found to be inconsistent or invalid under applicable law, that provision will be deemed void and removed from these Terms. All other provisions will remain in effect.

Changes

These Terms may be amended from time to time to maintain compliance with the law and to reflect changes to how we operate our Site and services. When we update these Terms, we will revise the Effective Date at the top of this page. We may also notify users by email or post a notice on the Site when changes are material.
